The VPI-TS Limited Liability Company (hereinafter referred to as the Contractor), on the one hand, which is the Subagent and acts on behalf of the TRAVELBOOK Limited Liability Company and operates on the basis of the Subagent Contract 01/151217 of December 15, 2017, is entitled on behalf and at the expense of the Carriers and Suppliers to carry out registration and sale of services, offers for any legal entity or individual, hereinafter the Customer, on the other hand (hereinafter the Parties, and each Party separately) to conclude this public contract (hereinafter - the Contract offer) to provide services to the Customer (hereinafter - Services) for: registration/return of travel/shipping documents, reservations, registration of related services in passenger railway transport;

TERMS used in the Agreement:

Contract offer — this document which is published on the Internet at a single address.: http://rail.bilet-ua.com/offer

Acceptance - is the answer of the person to whom the offer is addressed about its acceptance. The execution by the person who received the offer, on the date fixed for its acceptance, of actions to fulfill the terms of the contract specified in it (payment for services, etc.) is considered an acceptance.

Offer Acceptance - full and unconditional acceptance of the terms of the Offer Agreement by the implementation of actions by the Customer who expresses an intention to use the website for the registration of the Services.

Services – the possibility of registration / return of the PTD / TTD, registration of related services through the Web site and other consulting and information services provided by the Contractor.

Electronic travel/transportation document (ETD) - an electronic document generated using the Site, which is a contract for the carriage of a passenger (baggage).

Electronic document for services - an electronic document generated using the System, which is a confirmation of the operation of ordering services.

Electronic return document - an electronic document generated using the System, which is a confirmation of the execution of the refund operation for unused ETD;

Boarding document - a visual form of ETD or its fragment on paper or electronic media (mobile phone, compact personal computer, chip card, etc.), which contains a unique code and a unique number of ETD, which information is read by the corresponding device or entered into the corresponding register in the prescribed form..

Travel/transportation document (TTD) - settlement document of the established form, drawn up on the appropriate form of the travel document.

Order - a set of data of the Site, which reflects the actions on reserving places or registration / return of the TTD / ETD performed by the Subagent using the Site.

Order form - a document drawn up and prepared for printing using the Site, which contains a unique order number (order code), on the basis of which the Customer can receive a printed TTD at the railway ticket office located in Ukraine.

Order number - a unique alphanumeric 16-digit order number, on the basis of which the Customer can receive a printed TTD at the railway ticket office located in Ukraine.

ETD number - a unique alphanumeric 20-digit order number of the ETD.

Reservation - allocation of a seat in a train for a certain period of time on the basis of registration and payment of this service, with the further buyout of the travel document.

Customer - any individual, legal entity, private entrepreneur, who, on the basis of the Agreement entered into with the Contractor, receives Services.

Website « http://rail.bilet-ua.com/ » (hereinafter referred to as Site) - a set of software and hardware (software and hardware complex) of the Contractor, through which the Contractor provides access, through the Internet, to the functions of registration of the documents for the Services that are provided by railway transport, and provides the opportunity to pay them.

Carriers - PJSC "Ukrzaliznytsia".

1. SUBJECT OF CONTRACT

1. The Contractor through the Site provides the Customer with the opportunity to order and pay for the following Services:
   • registration/return of travel/transportation documents, seat reservation;
   • registration of related services in passenger transportation by railway transport;

2. ORDER OF PROVISION OF SERVICES

1. The result of the provision of services by the Contractor are the documents executed in accordance with this Agreement:
   1. during the execution of PTD - Order Form or Order Number, which allows you to read it from the screen and print it out, and on the basis of which the Customer will be provided with PTD in the automated railway ticket office located in Ukraine;
   2. during the execution of PTD - Landing document of the sample established by PJSC "Ukrzaliznytsia" with the Order Number, ETD Number and two-dimensional bar code;
   3. when reserving a seat with further buyout of PPD / EPD or other related services in passenger transportation by rail - Service Document;
2. The specified documents will be automatically generated by the Site according to the forms established by the Carriers, and the Customer will be given the opportunity to print and/or send them to the email address specified by the Customer.
3. The obligations of the Contractor under this Agreement shall be deemed fulfilled in full from the moment the document provided to the Customer according to the clause 2.1 of this Agreement.

3. COST OF SERVICES AND PAYMENT ORDER

1. Information on the type, quantity and cost of the ordered Services is displayed on the screen or otherwise communicated to the Customer immediately prior to the commencement of the provision of the Services. The cost of the Services includes the cost of the Carrier’s services, the Carrier’s fee, the Contractor’s commission and the payment system’s commission.
2. During the initiation of payment for the Services, the Customer agrees that the cost of the Services, which is displayed on the screen or otherwise communicated to the Customer immediately prior to the commencement of the Services, includes the cost of the Carrier’s services, the Carrier’s fee, the Contractor’s commission and the payment system’s fee.
3. The customer pays the cost of services by 100% prepayment via the Internet using bank payment cards, via self-service terminals or automated workplaces of cashiers by depositing cash, or any other possible means available at the time of payment.
4. In case of refusal to travel by rail, return of unused railway travel / transportation documents is carried out in accordance with the rules established by PJSC "Ukrzaliznytsia" - «Rules for the carriage of passengers by rail» . A processing fee is not refundable in such circumstances. The return of funds paid by the Customer is carried out in accordance with the type of payment: in the case of payment for the Services with a payment card, by crediting funds to the same payment card; in the case of payment of cash - by returning cash.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES

1. Contractor commits to:
   • provide the Customer with the opportunity to order and pay for services via the Website;
   • provide consultations on the use of the Site;
   • maintain the confidentiality of the Customer’s information received from him when registering the Services (the use of such information is subject to the requirements of the Law of Ukraine “On the protection of personal data”), except as otherwise provided by the current legislation of Ukraine;
   • carry out information and technical and consulting support to the Customer during the term of this Agreement by telephone and e-mail specified in the details of the Contractor.
2. Contractor has the right to:
   • stop providing access to the Site, due to maintenance work;
   • refuse to provide the Services to the Customer in case of failure of the Customer to provide information required by this Agreement or the law.
3. Customer commits to:
   • comply with the terms of this Agreement;
   • specify the authentic personal data in the registration of the service;
   • pay the cost of services to the Contractor.
4. Customer has the right to:
   • demand from the Contractor to comply with the terms of this Agreement.

5. RESPONSIBILITY OF THE PARTIES

1. The quality of public communication channels through which the Site is accessed is outside the responsibility of the Parties to this Agreement.
2. The Contractor is not responsible for the Customer’s failure to receive the Services due to problems with communication channels, e-mail, the Customer’s mail server, etc.
3. Customer is responsible for the accuracy of the data specified by him when providing the Services.
4. All disputable issues related to the implementation of this Agreement shall be resolved by the Parties using the personal data of the Customer indicated by them.
5. The Contractor shall not be liable for changes in the schedule made by the Carriers, and does not inform the Customer about such changes.

6. CONTRACT VALIDITY

1. This Agreement shall enter into force upon the Customer’s unconditional acceptance of its terms by paying for the Contractor’s Services (part 2 of Article 642 of the Civil Code of Ukraine) by any method provided for by this Agreement (including, but not exclusively, by pressing the "PAY" button on the screen), from this time forward the Contract is automatically considered to be concluded, and is valid until the Parties fully fulfill their obligations under this Contract.

7. SETTLEMENT OF DISPUTES

1. All controversial issues that may arise under this Agreement or in connection with its execution are resolved by the Customer and the Contractor through negotiations. The pre-trial procedure for resolving a dispute is mandatory.
2. All controversial issues are considered in the presence of a written statement transmitted by means of postal communication.
3. In the event of the Customer and the Contractor being unable to reach agreement on controversial issues through negotiations, these issues are subject to resolution in accordance with the current legislation of Ukraine.

8. OTHER CONDITIONS

1. By agreeing with the terms of the Agreement, the Customer confirms his legal capacity, including the achievement of 18 years of age, and also awareness of the responsibility for the obligations imposed on him as a result of the conclusion of this Agreement.
2. The Customer is considered to be the person who has agreed to the terms of this Agreement, ordered and paid for the cost of services.
3. For all matters not regulated in the text of this Agreement, the Customer and the Contractor are guided by the current legislation of Ukraine.
4. The Contractor reserves the right to amend the terms of this Agreement at any time. If the time of entry into force of such changes specifically/separately is not specified, they come into force from the moment of their publication on the website of the Contractor.
5. This Agreement (Offer) is an official document of the Contractor, has legal force and is published on the website http://dev-rail.bilet-ua.com/ .
6. This Agreement is a public compliance with Articles 633, 641 of the Civil Code of Ukraine and its conditions are the same for all consumers.
7. This Agreement is an accession agreement in accordance with Article 634 of the Civil Code of Ukraine. Acceptance of the terms of this Agreement (acceptance of the offer) is complete and unconditional and means the Customer’s acceptance of all the terms of the Agreement without exceptions and additions, and also indicates that the Customer understands the meaning of his actions, all the conditions of the Agreement are clear to him, the Customer is not under the influence of delusion , deception, violence, threats, and the like.
8. The Customer, at the time of approval of this Agreement, agrees to pay for the Services, in accordance with the tariffs established by the Contractor.
9. The customer, at the time of the agreement of this Agreement, as the subject of personal data, in pursuance of the requirements of the Law of Ukraine "On the protection of personal data" gives its consent to the inclusion of his personal data in the database of personal data of the Contractor. The purpose of processing personal data voluntarily provided by the Customer is to ensure the implementation by the Contractor and its related parties of legal, tax and accounting relations in accordance with the Civil Code of Ukraine, the Economic Code of Ukraine, the Tax Code of Ukraine, the Law of Ukraine "On Accounting and Financial Reporting in Ukraine", the Law of Ukraine "On Banks and Banking Activity ", the Law of Ukraine "On the Prevention and Counteraction of Legalization (Laundering) of Incomes Recieved Illegally", etc. To achieve the purpose of processing, the following personal data of the Customer can be included in the Contractor’s personal data base: full name, place of residence, residence information, individual identification number (individual tax number), passport number and series (or other identity document) ), the date of issue and the authority that issued it, the details of the bank in which the account is opened, and the bank account number (if available), contact telephone number.
10. Any personal data that is transferred or may be transferred under this Agreement will be confidential information that is not subject to disclosure/transfer in any form, except as expressly provided for by the legislation of Ukraine. The Parties immediately inform each other in a written form of all cases of disclosure/transmission of personal data under this Agreement.
